Demand Letter for Breach of Contract: A Practical Guide

A breach-of-contract demand letter should connect the other party's conduct to the exact promise, remedy, and deadline at issue.

6 min read

Before filing a contract claim, a demand letter can give the other party a chance to cure the breach and create a clear record of what you are asking for. The letter should be built from the contract, not from a general description of unfairness.

Quote the obligation that was breached

Identify the section, deadline, payment term, or performance requirement at issue. Then describe what happened, when it happened, and how the conduct failed to meet the agreement.

Check notice and cure provisions

Many contracts require written notice, a cure period, or a particular delivery method before termination or suit. Ignoring those provisions can undermine an otherwise valid claim.

State the remedy you want

Ask for the specific performance, payment, correction, termination, or other remedy that the contract and applicable law support. A precise demand is easier to answer and harder to dismiss.

Have the contract reviewed when the stakes are high

A review can identify limitation-of-liability clauses, arbitration requirements, damages exclusions, and governing-law terms before the letter commits you to a position.
